Leland Healthcare Advisors & Consultants Outlines Valuation Preparation Challenges Facing Lower-Middle-Market Clinical Care Businesses

Sep 7, 2026

Founder Thaddeus Thompson sets out what, in his analysis, are common factors that affect exit outcomes for rehabilitation, behavioural health, and home health operators.

-- Thaddeus Thompson, Founder and Managing Director of Leland Healthcare Advisors & Consultants (LHA&C), a Boston-based healthcare consulting and mergers and acquisitions advisory firm, has set out his analysis of the preparation challenges he observes among lower-middle-market clinical care businesses approaching a sale or ownership transition.

Thompson's commentary focuses specifically on rehabilitation services, behavioural health, and home health businesses, clinical care operators that, in his view, frequently enter transaction processes without the financial analysis and operational preparation required to present their business at full market value. The observations draw on his more than 30 years of healthcare management experience and the firm's advisory work with clinical care organisations across the United States.

On the Preparation Gap

In Thompson's analysis, the gap between what lower-middle-market clinical care businesses receive at exit and what they might receive with adequate preparation is not primarily a market problem. It is, in his assessment, a preparation problem.

Owner dependency is one factor he identifies as a common value suppressor. When a business's revenue, referral relationships, and operational continuity are tied closely to a single individual, Thompson notes that buyers typically price in the risk of that individual's departure. A business may be delivering strong clinical outcomes and consistent revenue, but without a management infrastructure that can operate independently, the business's perceived risk profile increases in a transaction context.

Workflow inefficiencies, outdated management structures, and informal operational processes are also factors Thompson identifies as affecting how buyers assess future performance. Businesses that have grown organically over many years, he notes, frequently carry legacy processes that have not evolved alongside the organisation, which can affect EBITDA margins and overall attractiveness to buyers underwriting future rather than historical performance.

These observations reflect Thompson's professional assessment based on his advisory experience and are not drawn from a published study or independent dataset.

LHA&C's Advisory Approach

LHA&C's mergers and acquisitions advisory work begins, according to the firm, with a financial analysis benchmarked against industry comparables, intended to establish a market valuation and identify opportunities for operational or financial improvement ahead of a transaction. The advisory process covers valuation, exit strategy planning, buyer matching, negotiation and deal structuring, due diligence coordination, and closing and transition support.

Thompson's position, based on his advisory experience, is that owners who enter the market with preparation in place are better positioned to assess offers and identify buyers whose values and intentions align with the care model being transitioned. These outcomes are not guaranteed and will vary depending on individual business circumstances, market conditions, and transaction dynamics.
